INTELLIWORKS, INC. PRIVACY POLICY

This privacy statement is a binding agreement between you (“You”) and Intelliworks, Inc. (“Intelliworks” or “We” or “Us”) (the “Agreement”), which governs how Intelliworks gathers and disseminates information during the process of providing our online Service (“Service”) via this Intelliworks Website (the “Site”). As a condition of using our Service, You hereby acknowledge that You have read and understand the entire terms and conditions of this Agreement, and that You consent to the terms of the Intelliworks Privacy Policy located at http://www.intelliworks.com/PrivacyPolicy, as each may be updated from time to time. If You do not agree to be bound by all terms and conditions of this Agreement, Your only remedy is to immediately cease all use of this Site and its features and functions. We reserve the right to change this Agreement and will provide notification of the change to Your email address provided to Us at least thirty (30) days prior to the change taking effect. All changes to this Agreement will be effective upon thirty (30) days following posting to this Site. This Agreement is subject to and incorporates all provisions of the Master Subscription Agreement (“Master Agreement”) between the Parties.

Collected Information:

When You register to use the Service offered on our Site (collectively, the "Service"), we require You to give Us contact information, such as Your name, company name, address, phone number, and e-mail address, and financial qualification and billing information, such as billing name and address, credit card number, and the number of users within Your organization that will be using the Service (“General Information”) . At the time You express interest in attaining additional information, or when You register for the Service, We may also ask for additional personal information, such as title, department name, fax number, or additional company information, such as the size or industry (“Additional Information”). You can opt out of providing this Additional Information by not entering it when asked. You can update or remove Your General Information at any time by logging into the Site and editing Your “Personal Information” within “Setup.” You can view Your updated profile via the Site to confirm Your edits have been made.

Intelliworks uses the information that We collect to set up the Service for You and Your organization. We may also use the information to contact You to further discuss Your interest in our company, the Service that We provide, and to send information regarding our company or third-party partners, promotions and events. Except with respect to financial and billing information (“Billing Information”) as specified below and except as We explicitly state at the time We request any information from You, or as provided for in the Intelliworks Master Agreement executed between You and Intelliworks, we will not distribute or share your General Information, Additional Information or Billing Information with third parties. You may be invited to receive an email newsletter by providing an email address. This email address You provide for newsletter receipt will not be distributed or shared with third parties. You can opt out of being contacted by Us, or receiving such information from Us, at any time by sending an email to info@intelliworks.com. The email address You provide for newsletter receipt may be different from the email address You are asked to provide when registering for the Service, in order to receive a username and password . We may also email information to this registration email address regarding updates to the Service or company.

Billing information that We collect through the Site is used solely to (i) check the qualifications of prospective customers and (ii) to bill for the Service. Billing information is not used by Intelliworks for marketing or promotional purposes. Intelliworks uses a third-party intermediary to manage credit card processing of Your Billing Information. This intermediary is solely a link in the distribution chain, and is not permitted to store, retain, or use the Billing Information provided, except for the sole purpose of credit card processing. Other third parties, such as content providers, may provide content on the Site but they are not permitted to collect any information nor does Intelliworks share Your General Information or Additional Information with these parties.

You will be using the Site to host data and information ("Data"). Intelliworks will not review, share, distribute, print, or reference any such Data except as provided in the Master Agreement, or as may be required by law. Individual records may at times be viewed or accessed only for the purpose of resolving a problem, support issue, or suspected violation of the Master Agreement, or as may be required by law. You are responsible for maintaining the confidentiality and security of Your user registration and password. In order to prevent loss of data due to errors or system failures, We also keep backup copies of Data including the contents of Your Account. We retain copies of Your Data for ___ days, and bear no responsibility or liability to You related to Your Data except as may be set forth in the Master Agreement.

Intelliworks may also collect certain information from You via the Site, such as Your IP address (“Technical Information”). This Technical Information is logged to help diagnose technical problems, and to administer our Site in order to maintain the Service. We may also track and analyze non-identifying and aggregate usage and volume statistical information from You and provide such information to third parties.

Cookies:

When You interact with the Site, our Web server sends a cookie to Your computer. Cookies are files that Web browsers place on a computer's hard drive and are used to tell Us whether You have visited the Site previously.

Standing alone, cookies do not identify You personally. They merely recognize Your browser. Unless You choose to identify Yourself to Intelliworks, either by responding to a promotional offer, opening an account, or registering for a 30-day trial, You remain anonymous to Intelliworks. Cookies come in two flavors: session- and persistent-based. Session cookies exist only during an online session. They disappear from Your computer when You close Your browser software or turn off Your computer. Persistent cookies remain on Your computer after You've closed Your browser or turned off Your computer. They include such information as a unique identifier for Your browser.

Intelliworks uses session cookies containing encrypted information to allow the system to uniquely identify You while You are logged in. This information allows Intelliworks to process Your online transactions and requests. Session cookies help Us make sure You are who You say You are after You've logged in and are required in order to use the Intelliworks application. Intelliworks uses persistent cookies, that only Intelliworks can read and use, to identify the fact that You are an Intelliworks customer or prior Site visitor (whatever the case may be). We do not store account numbers or passwords in persistent cookies. If You disable Your Web browsers' ability to accept cookies, You will be able to browse the Site but will not be able to successfully use our Service.

Third Party Cookies:

We may from time to time engage third parties to track and analyze non-personally identifiable usage and volume statistical information from You to help Us administer the Site and improve its quality. Such third parties may use cookies to help track Your behavior. Such cookies will not be used to associate You with any personally identifiable information. All data collected by such third parties on behalf of Intelliworks is used only to provide Us with information on site usage and is not shared with any other third parties.

Third-Party Sites:

The Site may contain links to other web sites. Intelliworks is not responsible for the privacy practices or the content of these other web sites. You are solely responsible for checking the policy statement of these others web sites and for understanding and complying with their policies. When You access a linked site, You may be disclosing Your private information. It is Your responsibility to keep such information private and confidential.

Security:

We use commercially reasonable efforts to protect Your personal personally identifiable information. We restrict access to personal personally identifiable information about You to those employees who need to know that information to provide products or Service to You. We maintain reasonable physical, electronic, and procedural safeguards that comply with federal and state regulations to guard Your nonpublic personal personally identifiable information, consistent with applicable federal and state law requirements.

Although We have established and maintain commercially reasonable security procedures to protect Your personally identifiable information, “perfect security," does not exist on the Internet. Furthermore, due to the existing legal regulatory and security environment, We cannot fully ensure that Your private communications and other personally identifiable information will not be disclosed to third parties. For example, We may be forced to disclose information to the government or third parties under certain circumstances, or third parties may unlawfully intercept or access transmissions or private communications. Additionally, in the unlikely event We need to investigate or resolve possible problems or inquiries, We can (and You authorize Us to do so) disclose any information about You to private entities, law enforcement or other government officials as We, in our sole discretion, believe necessary or appropriate.

Information Collection Practices:

You can visit the Intelliworks Website to read information about our company, products, and services without telling us who you are and without revealing any personal information. In operating the Site, Intelliworks includes optional information request forms such as Datasheets, Case Studies, White Papers, Webinar Request forms, Newsletter subscription forms, and general contact request forms that request your name, phone number, email address, and other information to help us determine your needs related to our products and solutions and in order for you to download or view documents or other information through the Site. We use this information to send updates about our company and to contact you if requested or necessary. This information is provided by you on a voluntary basis only and is not required by us in order for you to use and enjoy the Site. Intelliworks uses the information that we collect on the Site to contact you to further discuss your interest in our company, our services, and to send information regarding our company or partners, such as marketing promotions and events. This information may also be used to improve the services we provide you. The information is collected and stored in a manner that is appropriate for the nature of the data that we collect, and the need to fulfill your request. Finally, should you choose to provide personal information to Intelliworks, we will not sell, rent or share this information with other parties.

Opt-Out Policy:

Intelliworks offers You a means to choose how We may use information provided by You via the Site or Service. If, at any time after registering for information or ordering the Service, You change Your mind about receiving information from Us or about sharing Your information with third parties, send Us a request specifying Your new choice. Simply send Your request to info@Intelliworks. We will use commercially reasonable efforts to process and implement Your change request within thirty (30) days following Our receipt.

Correcting & Updating Your Information:

If You need to update or change registration information You may do so by editing Your user or organization record (the “User Profile”). To update a User Profile, log on to the Site and select “Setup” to add or update information. To update billing information please email info@intelliworks.com or call 1.877.466.4332. To discontinue the Service and to have Data returned, email info@intelliworks.com or call 1.877.466.4332. Intelliworks will use commercially reasonable efforts to respond to Your correction or update request within 30 days from the date of Your request.
